What you will do
Assist in and provide corporate governance and corporate secretarial support for legal entities in Japan and in the Asia Pacific region, including a regulated broker-dealer entity incorporated in Japan
Draft documents and proposals to secure written consent from Board of Directors and corporate shareholder in English and in Japanese
Prepare governance materials and organize documents (e.g., notices, meeting packs, agendas, minutes of meetings) for regular meetings of the board and additional meeting of the board and shareholders, as needed, including communications with the relevant presenters and the COO team
Liaise with Finance, Auditor (PwC) and Statutory Auditor in connection with the year-end financial closing process
Draft and review various documents for Statutory Auditor review process
Advise and assist the Board on conduct of meetings (including assisting the chairperson of the board) and draft minutes of the proceedings in English and in Japanese
Liaise with external counsel for various advice related to Company Act and registration requirements with the Official Commercial Registry; prepare and obtain documents necessary for such registration; in consultation with external counsel, prepare resolutions and minutes in compliance with the Company Act
Update and make revisions as needed to articles of incorporation and board of directors’ rules in Japanese and in English
Assist and advise Compliance team and other stakeholders on various internal rules (e.g., organizational documents, rules related to Corporate Seal, signing authority) and notify them on changes related to the board and commercial registration a timely basis so that they can notify the regulators as needed
Assist and advise Japan HR in connection with HR rules related to the board and Statutory Auditor (including advice on their employment agreements)
Review and draft the relevant sections related to the board and governance in the Company Act Business Report, FIEA Business Report (to be submitted to FSA) and Disclosure Booklet (posted on JSDA) (all in Japanese)
Coordinate and schedule annual calendar for board meetings
Help ensure governance-related requirements of Subsidiary Governance Policy are met
Respond to governance requests and requirements arising in connection with US recovery and resolution planning
Participate in legal entity projects, working with colleagues based in other countries as needed
Advise and respond to inquiries regarding signatory process and authorities
Coordinate with US Legal and Compliance team to comply with requirements to maintain CFTC swap dealer registration in the US
Respond to regulatory, audit, and other requests for corporate governance information and providing certified true copies
Input and maintain core legal entity information in the Blueprint system of record
応募資格(必須経験など)
Your background
At least 5 years of solid experience advising on and providing support on corporate transactional, general corporate and/or corporate secretarial matters
Experience working for a foreign corporation or subsidiary of a foreign bank is a plus
Self-starter who can work independently
Excellent English and Japanese language skills (both written and spoken), and excellent communications skills, in general
Attention to detail and good organizational skills
Ability to network across the organization to determine proper and efficient contacts
Ability to multi-task
Comfortable interacting with senior management of the corporation
Ability to identify and escalate issues and devise solutions to issues
